Qualification documents for tenders: the full list and the expiry trap
Every document required at the qualification stage, with its validity, where to get it and what to do when one is missing. Includes the renewal calendar that prevents the silliest loss of all.
This text was written for companies registered in Brazil. Foreign suppliers should also read how foreign companies can bid in Brazilian public tenders.
Qualification (habilitação) is the stage of a public tender (licitação) at which the government agency checks whether the winning company is actually able to contract with the public sector. Since the reversal of phases consolidated by Law 14,133/2021 (Brazil's Public Procurement Law), only the documents of the company that won the competition are reviewed — which speeds up the process and concentrates all the tension in a single moment: you won on price, and now you have to prove you are in good standing.
This is where most defeats happen, and almost never because the company is incapable. Bids are lost because of a certificate that expired three days earlier, a financial ratio below the required level, a technical capacity certificate with an insufficient quantity. This guide lists everything that can be requested, where to get each document, how long it is valid and what to do when one is missing.
The four pillars of qualification
Law 14,133/2021 organizes qualification into four groups. No tender notice (edital) may require more than the law allows, and not every tender notice requires everything — low-value purchases usually waive a good part of it.
1. Legal qualification
Proves that the company exists and that whoever signs is authorized to sign:
- Founding document: consolidated articles of association with all amendments, bylaws and minutes electing the board (corporations), sole proprietor registration form (individual entrepreneur) or CCMEI (individual microentrepreneur, MEI);
- An up-to-date CNPJ card (Brazilian company tax ID) — check that the primary or secondary activity covers the object of the tender, because a non-matching CNAE (economic activity code) is grounds for disqualification;
- ID document and CPF (individual taxpayer number) of the managing partners;
- Power of attorney, when the person signing the bid is not the manager named in the articles of association. It is a frequently forgotten item and brings down good bids.
2. Tax, social security and labor compliance
This is the group with the shortest validity periods and the one that causes the most trouble:
- Joint Federal Certificate (Receita Federal and PGFN, the National Treasury's attorney office), covering federal taxes, social security contributions and federal tax debt. Valid for 180 days, issued online free of charge;
- FGTS Certificate of Good Standing (CRF), issued by Caixa for the FGTS (severance fund). Valid for only 30 days — the champion of unnoticed expiries;
- Labor Debt Clearance Certificate (CNDT), from the TST (Superior Labor Court). Valid for 180 days;
- State tax certificate, from the Finance Department of the state where the company is based. Validity and procedure vary by state;
- Municipal certificate for business taxes (ISS, the municipal service tax), from the city government where the company is based. Some tender notices also ask for the property tax certificate;
- State or municipal tax registration, depending on the activity — trading goods requires state registration; providing services, municipal registration.
3. Economic and financial qualification
Proves that the company is financially healthy enough to perform the contract:
- Balance sheet and financial statements for the last fiscal year, already due and registered as required by law. A company incorporated in the current fiscal year submits an opening balance sheet;
- Financial ratios calculated from the balance sheet — general liquidity, current liquidity and general solvency, usually required to be above 1.0. The calculation is usually signed by the accountant;
- Clearance certificate for bankruptcy, judicial and out-of-court reorganization, from the court registry where the company is based. A company under judicial reorganization may take part by presenting its court-approved plan;
- Minimum share capital or net worth, when required — capped at 10% of the estimated value of the contract;
- Statement of existing commitments, in ongoing service contracts, to show that the company is not committed beyond its own capacity.
4. Technical qualification
Proves that the company has done something similar before:
- Technical capacity certificate (atestado de capacidade técnica), issued by a public or private legal entity, proving a supply or service compatible in characteristics, quantities and timeframes;
- Registration with the professional council (CREA, CAU, CRM, CRF, CRO, CRN…), for both the company and the technical manager, when the activity requires it;
- CAT — Technical Track Record Certificate (Certidão de Acervo Técnico), for construction and engineering services, linking the professional to the earlier work;
- Specific licenses: health permit, environmental license, Operating Authorization from Anvisa (health regulatory agency), registration with the Ministry of Agriculture, Army authorization, depending on the product;
- Declaration of equipment and technical staff, when the object depends on a specific setup.
The standard declarations
In addition to the documents, every tender notice asks for a set of declarations signed by the legal representative. The templates come in the annexes, and refusing to sign any of them makes participation impossible:
- no child labor, in compliance with item XXXIII of Article 7 of the Constitution;
- no supervening fact that prevents qualification;
- compliance with the job quota for people with disabilities and for workers rehabilitated by the INSS (social security institute);
- status as an ME or EPP (micro or small business), to trigger the benefits of Complementary Law 123/2006 (Small Business Statute);
- independent preparation of the bid, which is a declaration of no collusion;
- no ties to any civil servant or officer of the contracting agency.
The renewal calendar that solves the problem
The most frequent and most avoidable loss is an expired certificate. The solution is not to remember — it is to systematize. Build a spreadsheet with four columns: document, issue date, expiry date and link to issue it. Set a reminder fifteen days before each expiry.
A suggested rhythm, based on actual validity periods:
| Document | Typical validity | Renewal |
|---|---|---|
| FGTS CRF | 30 days | Monthly, always |
| Joint federal certificate | 180 days | Every 5 months |
| CNDT (labor) | 180 days | Every 5 months |
| State certificate | varies (30 to 180 days) | Depending on the state |
| Municipal certificate | varies (30 to 180 days) | Depending on the municipality |
| Bankruptcy/reorganization | 30 to 90 days | Before each significant tender |
| Balance sheet | fiscal year | Annually, with the accountant |
Renewing takes minutes when the company is in good standing. It takes weeks when an unexpected issue turns up — and it always turns up the day before the session.
What to do when a document is missing
If you are an ME, EPP or MEI and the issue is tax-related
Complementary Law 123/2006 lets you submit tax documents with outstanding issues and regularize them after being declared the winner, within the legal deadline, which can be extended. Watch out for the detail that trips up many people: the document must be attached anyway, even with the outstanding issue. Sending nothing is different from sending it with a restriction — and only the second case is protected.
If the document exists but was not attached
Law 14,133/2021 allows defects to be cured at the qualification stage: the auctioneer (pregoeiro) may open an inquiry to supplement a document that already existed on the date of the session. What is not allowed is creating a new document afterwards. A technical capacity certificate issued three days after the session is not valid; a certificate that was valid but not attached is usually accepted.
If the requirement is disproportionate
A technical capacity certificate requiring a quantity equal to or greater than the total being procured, a financial ratio above what is reasonable, share capital above 10% of the estimated value — all of these are flaws that can be challenged. The deadline is short (usually up to three business days before the opening) and the challenge is free. See how to challenge a tender notice.
Registries that simplify everything
Keeping your registration in SICAF (federal supplier registry), within Compras.gov.br (federal e-procurement system), lets the system automatically check much of your tax compliance — in many reverse auctions (pregões), this replaces sending the certificates manually. It is free, and the effort of keeping it up to date pays for itself in the first tender. See the step-by-step registration guide.
Large states and municipalities maintain their own registries with a similar effect. If you bid frequently with a specific public body, it is worth registering there too.
The technical capacity certificate deserves special attention
It is the only document that cannot simply be issued: it has to be earned. Without one, many tender notices are closed to you; with one, competition drops considerably — because most disorganized competitors did not keep theirs.
Three practical rules: ask for the certificate on completing each delivery, while the contract inspector still remembers you; check that it states the quantity, timeframe and description of the object (generic certificates are often rejected); and keep everything in a single repository, with a digital copy. The full path is in how to get your first certificate.
Why financial ratios bring down so many companies
Of all the requirements, economic and financial qualification is the one least likely to be fixed the day before. The three usual ratios come straight from the balance sheet: general liquidity (current assets plus long-term receivables, divided by current liabilities plus long-term liabilities), current liquidity (current assets divided by current liabilities) and general solvency (total assets divided by total liabilities). The tender notice usually requires all of them to be above 1.0.
A ratio below 1.0 means, in plain language, that the company owes more than it has available over that time horizon. That does not make it a bad company — it is common in fast-growing businesses that finance inventory with borrowed money —, but the tender notice does not interpret context: it compares the number with the minimum.
When the ratio does not add up, the law itself offers a way out that many people overlook: the tender notice may allow the company to prove minimum share capital or net worth as an alternative. Read that section carefully before giving up on the tender. And if your balance sheet tends to be borderline, talk to your accountant when closing the fiscal year — legitimate accounting classification decisions, made in time, change the resulting ratios.
Documents that vary with the object
Beyond the common core, each type of procurement brings its own requirements. It is worth knowing the most frequent ones so you do not discover them too late:
Food. A health permit for the establishment, registration with the SIM, SISBI or SIF (municipal, national-system and federal inspection services) for animal products, laboratory test reports and, often, proof of a suitable vehicle for transporting perishables. Browse the open school meals tenders to see how often these requirements come up.
Medicines and hospital supplies. Operating Authorization (AFE) from Anvisa, a state or municipal health license, product registration with Anvisa and, in some cases, a Good Manufacturing Practices Certificate. This is the strictest area for qualification, and the product's remaining shelf life on delivery is usually a contract clause.
Construction and engineering services. Registration of the company and the technical manager with CREA or CAU (engineering and architecture councils), the professional's technical track record certificate (CAT), capacity certificates with minimum quantities and, in larger contracts, a performance guarantee. We go into detail in how to take part in public works tenders.
Labor-based services. A detailed cost breakdown spreadsheet and price build-up, the category's collective bargaining agreement and, depending on the service, a specific authorization — private security guard services, for example, require an operating authorization from the Federal Police and guards with up-to-date training courses.
Transportation. Vehicle inspection, drivers with the appropriate license category, passenger insurance and, for school transportation, the specific training course required by the Brazilian Traffic Code.
How to organize your digital folder
It may seem like an operational detail, but it prevents real losses. Create a single folder, accessible from anywhere, with subfolders by group: legal, tax, economic-financial and technical. Name each file using the pattern document-expiry — for example, fgts-2026-09-15.pdf. A quick glance tells you what is about to expire.
Scan to a legible PDF, without cropping, with the whole document on the page. Platforms usually limit the size of each file; compress without destroying legibility, because an illegible document is treated as a document not submitted. Also keep a consolidated file with all the declarations already signed and scanned, ready to attach.
Finally, write down in a simple document who is responsible for renewing what. In small companies, the task vanishes when it "belongs to everyone". One person, one spreadsheet and a monthly reminder solve the problem that eliminates more good bids than any other across Brazil.
The most common causes of disqualification
- Expired FGTS CRF — valid for 30 days, the shortest of all;
- Outdated articles of association, missing the amendment that changed the manager;
- Missing power of attorney when the signer is not the managing partner;
- Balance sheet not registered or without the ratios calculated and signed by the accountant;
- Capacity certificate without an explicit quantity, when the tender notice requires a minimum percentage;
- No registration with the professional council for a regulated activity;
- ME/EPP declaration not ticked in the system, cancelling out the legal benefits;
- A document that is only partly legible, scanned crooked or cut off.
A checklist to use before every tender
- Does the CNAE cover the object? Check the CNPJ card, not your memory;
- Are all certificates valid on the date of the session, not just today?
- Does the tender notice require a capacity certificate? Do you have one that matches in quantity and timeframe?
- Is there a financial ratio requirement? Does your balance sheet meet it?
- Do you need a specific license (health, environmental, professional council)?
- Are the declarations in the annexes signed by the correct representative?
- If you are an ME/EPP, did you tick your status in the system?
- Are the files legible, in the accepted format and within the size limit?
With the folder in place and the calendar running, this checklist takes ten minutes. It is the difference between competing calmly and finding out during the session that a piece of paper was missing — after you have already won on price.
To see which tender notices in your field are open right now, start with the tenders still open for bids and check, on each listing, the section with the documents published by the agency.
